1. Acceptance of Terms
By accessing Health Coder ("The Platform"), you agree to these terms. If you are building on behalf of a clinic or hospital, you represent that you have the authority to bind that entity.


2. The "AI Co-Pilot" Disclaimer (CRITICAL SECTION)

  • Nature of Service: Health Coder is an AI-powered development environment. It generates code based on your prompts.

  • No Warranty of Code: While we strive for accuracy, AI models can "hallucinate." You acknowledge that you are the final "Manufacturer" of your software. It is your sole responsibility to test, audit, and validate all code and logic generated by the Platform before deploying it to a live clinical environment.

  • Liability Cap: We are not liable for clinical errors, misdiagnoses, or operational failures caused by the applications you build.


3. HIPAA & The Business Associate Agreement (BAA)

  • Priority: To the extent you use the Platform to process Protected Health Information (PHI), the terms of our Business Associate Agreement (BAA) shall govern and supersede these Terms regarding data security.

  • Your Status: You acknowledge that you are the "Covered Entity" (or an upstream Business Associate) and are responsible for maintaining your own HIPAA privacy notices for your patients.


4. Intellectual Property & Ownership

  • Your Code: You retain 100% ownership of the application code, database schema, and front-end assets generated during your subscription.

  • Our Tools: We retain ownership of the underlying AI models, platform infrastructure, and pre-built template libraries.


5. Acceptable Use Policy (AUP)
You agree NOT to use the Platform to:

  • Build fraudulent telemedicine services (e.g., "Pill Mills").

  • Send unsolicited marketing emails (Spam) in violation of CAN-SPAM.

  • Store illegal content or malware.

  • Violation of this section results in immediate termination without refund.


6. Fees and Payment

  • Subscription: The Service is billed at $399/month (or agreed Enterprise rate).

  • Non-Payment: If payment fails, we provide a 7-day grace period before restricting access to your development environment. Your live apps may be paused if payment is 14+ days overdue.


7. Termination & Offboarding

  • Cancellation: You may cancel at any time via the dashboard.

  • Data Portability: Upon cancellation, you have 30 days to download your SQL backups and code repositories. After 30 days, all data is permanently sanitized from our servers to ensure compliance.


8. Limitation of Liability
To the maximum extent permitted by law, Health Coder's total liability for any claim arising out of these terms shall not exceed the amount you paid us in the 12 months preceding the claim.
